1. GENERAL

Welcome to Eatagram Advertising Platform!

This Advertising Policy (“Policy”) applies to all Users (“you”, “your”, “User”) who are willing to promote their products and services on Eatagram Platform (“Platform”, “we”, “us”, “our”, “Eatagram”).

For this purpose, we have created Eatagram Advertising Platform to enable you to advertise your products and services on the Platform in the most effective and convenient way.

This Policy sets general guidelines on how you may place your advertisements on the Platform, what requirements and restrictions we put on advertisement placement on our Platform and other issues in relation to advertising on Eatagram.

Please review this Policy carefully before starting advertising on Eatagram. This Policy shall be interpreted along with (1) Consumer Terms of Use or Business Terms of Use (depending on your role on the Platform) and (2) our Privacy Policy. The terms not defined herein may be found in the abovementioned documents.

2. DEFINITIONS

We use the following definitions for the purposes of this Policy:

Advertisement shall mean text, graphic (photo) and video materials and other materials which contain information about the User, User’s goods and/or services and which are designed to form or maintain awareness and interest of Customers in the User's goods and/or services.

Advertising Cabinet shall mean a special type of account, which a User may create on the Advertising Platform in order to receive our Advertisement Placement Services.

Placement shall mean space within the Platform functionality, which the Platform provides for placement of Advertisement, namely Platform’s feed, Restaurants, Events, Chats.

Audience shall mean the group of Customers, which are identified as the target audience for the purposes of a particular Advertisement.

Advertisement Placement Services shall mean the services of providing space for placement of Advertisement and placement of Advertisement itself on the Platform that we provide to Users via Advertising Platform.

Customer shall mean a person (a Visitor or User of the Platform) to whom the Advertisement is directed.

Payment System shall mean a funds transfer system that provides the ability to make payments.

3. HOW TO APPLY?

To apply for placing your Advertising on the Platform you have to undertake the following actions:

1. register on the Platform;

2. create an Advertising Cabinet;

3. prepare your Advertisement for posting on the Platform;

4. choose Placement options of your Advertisement;

5. choose Audience options for your Advertisement;

6. submit your Advertisement using the functionalities of your Advertising Cabinet.

You may familiarize yourself with the process of registration on the Platform and the terms of your Account management in Consumer Terms of Use or Business Terms of Use depending on your role on the Platform.

In order to create Advertising Cabinet you shall use the functionality available in your Account.

While preparing your Advertisement for posting on the Platform we encourage you to be guided by our Advertisement guidelines and requirements set forth in this Policy in order to enhance the chances for your Advertisement to be successfully posted on the Platform.

4. REVIEW PROCESS

We need to make sure that our Platform is a safe place for all individuals who may visit it and encounter our services. Therefore, after you submit your Advertisement, it will go through the review process of the Advertising Platform.

The review process is designed to review your Advertisement for its compliance with our Advertisement guidelines and requirements set forth in this Policy.

Your Advertisement will automatically be transmitted for review process after you submit it on the Advertising Platform as described above. We use automated spam-filters for the purposes of Advertisement moderation on the Advertising Platform. We review all content contained in your Advertisement: text, graphics, images, video, etc.

An average timeframe for reviewing your Advertisement is 24 hours . However, we reserve the right to review some Advertisements longer in some complicated cases, due to excessive system load or other reasons determined by us.

While your Advertisement is going through the moderation process, it will be labeled as “On review” and will not be publicly available.

Outcome of Moderation Process

Your Advertisement may be either approved or rejected after review.

In case your Advertisement:

● complies with requirements of this Policy – it will be labeled as “Approved” and will be published on the Platform in accordance with options you have chosen;

● is considered to be inconsistent with the requirements set forth in this Policy – it will be labeled as “Rejected”, it will not be published on the Platform and we will inform you in this regard in a timely manner.

In case your Advertisement has been rejected and you still want it to be posted on the Platform, we kindly ask you to review once more our Advertisement guidelines and requirements set forth in this Policy. You may make amendments to your Advertisement in order to bring your Advertisement in line with our requirements or create completely new Advertisement and re-apply for placing your Advertisement on the Platform in both cases. You also have the right to contact the Platform directly for obtaining consultation in this regard via help@eatagram.com.

We have the right to reject any Advertisement at our sole discretion without any liability to you.

5. PAYMENTS

You will be charged for all costs incurred in connection with Advertisement Placement Services we provide to you on the terms described below.

Billing

You may choose different billing options available on our Advertising Platform depending on what goals you are willing to reach with your Advertisement.

CPC (Cost-Per-Click)

In case you are interested in increasing your website traffic and not necessarily brand awareness, the most relevant billing option for you is CPC.

If you choose CPC billing option, you will be charged every time a Customer clicks on your Advertisement. Precisely, this means that you pay only in case a Customer decides to visit your website by clicking on the Advertisement.

For this purpose, you shall set a maximum bid price you are willing to pay for each click on your Advertisement (“maximum bid price”). We run a first bid price auction on the Advertising Platform whereby the highest bid wins. Therefore, your maximum bid price is the cost you will pay for each click on your Advertisement.

In order to win the auction, you shall be eligible for Advertisement placement, which is a combination of the following:

● your maximum bid price for your Advertisement is the highest among competitors;

● your Advertisement is of high quality according to the generally accepted industry standards;

● your Advertisement is the most relevant for particular placement on the basis of its topic, Placement and Audience options.

Payment procedure

The precise cost of Advertisement Placement Services will be calculated as the total sum of all clicks on your Advertisement multiplied by your maximum bid price during one calendar month during which your Advertisement has been shown on the Platform (“Billing Period”).

The precise cost of Advertisement Placement Services will be based solely on our reporting system. You may always familiarize yourself with the current statistics on the number of clicks on your Advertisement in your Advertising Cabinet.

Within five (5) calendar days since the end of each Billing Period we will provide you with a final report on the number of clicks on your Advertisement during the respective Billing Period (“Report”) and the total cost of Advertisement Placement Services based on such Report.

If you agree with the information contained in Report you shall transfer the amount of costs specified in such Report to your bank account connected to your Advertising Cabinet within fifteen (15) calendar days since the moment you receive the respective Report (“Payment Period”).

If you believe in good faith that our specific Report and measurements are not accurate, you may submit a request regarding the respective disputed Report to us within the respective Payment Period via help@eatagram.com.

In case of discrepancies between your and our measurements within a specific Report which exceed ten percent (10 %) the parties will use commercially reasonable efforts to resolve any such discrepancy during the applicable Payment Period.

If you do not submit your request in this matter within the respective Payment Period, your right to dispute the respective Report shall be deemed waived and we will automatically transfer the cost specified in the appropriate Report to our bank account using your payment method on the Advertising Platform.

You shall pay for the Advertisement Placement Services in US Dollars. Late payments bear interest at the rate of 1.5% per month (or the highest rate permitted by law, if less). Any payment under this Policy shall be deemed to have been made from the moment it is credited in full to our bank account.

You shall pay for the Advertisement Placement Services using the Payment System. The Payment System we use for the purposes of this Policy. You may familiarize yourself with the terms and conditions of the Payment Systems via the following link: [Payment System – coming soon’ terms and conditions]. While using the Payment System, you shall be guided by the internal documents and terms of use of such Payment System. We are not and shall not be responsible for your use of any Payment System.

The cost of Advertisement Placement Services is exclusive of taxes. Each party shall be solely responsible for payment of any taxes, costs or expenses it incurs in connection with Advertisement Placement Services under this Policy.

6. ADVERTISEMENT GUIDELINES AND REQUIREMENTS

We are willing to maintain our Platform as a safe and aesthetically pleasing environment, provide a positive user experience to all our Users and Visitors and ensure that they encounter only appropriate advertisements.

For these purposes we have created a set of requirements that are applicable to all Advertisement which you may place on our Platform.

We provide the following requirements for Advertisement that may be placed on the Platform:

● General guidelines for Advertisement

● Prohibited Content

● Restricted Content

General guidelines for Advertisement

● all information contained in Advertisement shall be truthful and shall not mislead its Customers in any way;

● Advertisement shall be contextually appropriate as to the Platform’s topic as well as for products and services that are the subject of such Advertisement;

● Advertisement shall comply with all applicable laws and regulations as well as guidelines issued by the Federal Trade Commission or other applicable regulations;

● all claims contained in Advertisement shall be sufficiently substantiated especially when they concern health and safety issues;

● information contained in Advertisement shall be transparent, clear and understandable for an average Customer;

● Advertisement shall be proper grammatically, shall not include inappropriate and strong language;

● information contained in Advertisement shall be polite and respectful as to its potential Customers and shall not offend any person which may encounter it in any way;

● information contained in Advertisement shall not violate any rights and freedoms of third parties, including without limitation copyright, trademark, privacy, publicly, or other personal or proprietary rights;

● comparative advertising claims shall be truthful and appropriately substantiated and shall not be disparaging of a competitor’s product.

Prohibited Content

We do not allow advertising of certain products and services on our Platform due to legal requirements and overall ensuring of the safety of all Customers.

The following content is PROHIBITED on our Platform:

● illegal products, services and activities of any kind;

● unsafe substances;

● content which encourages or promotes violence, terrorism, fraudulent activities or behavior that is offensive, threatening, obscene, shameful or similar;

● discriminatory content which expresses hatred, cruelty or intolerance for people based on race, ethnicity, nationality, gender, religion, sexual orientation, age or disability, which harms honor, dignity, goodwill or business reputation of any third parties;

● content which disseminates defamatory, untrue information that misleads other users if you are aware of the nature of such information;

● content which encourages or supports the dangerous misuse of the promoted goods or services;

● content which violates anyone’s right to privacy or confidentiality, requests passwords or other personal information from other users for commercial or illegal use;

● content which violates anyone’s intellectual property rights, promotes illegal or unauthorized copying of other people's copyrighted works, such as posting pirated files or links to them;

● content which contains harmful, offensive or similar language;

● content which includes spam, viral emails, unsolicited mass mailings and similar;

● content which contains links to restricted or password-restricted pages, or hidden pages or images;

● unacceptable images or other materials (including without limitation nudity, zoophilia, pornography, scenes of violence and similar);

● adult content (for example, activities that are overly suggestive or sexually provocative)

● religion or religious themes;

● tobacco and related products;

● weapons, ammunition or explosives and similar;

● content which impersonates other people/organizations;

● low quality content;

● prohibited financial products and services, contests, lotteries, barter and similar.

It is also prohibited to link your Advertisement to websites, which contain any of the abovementioned prohibited content.

Restricted Content

We impose certain restrictions and additional requirements on advertising of some products and services on our Platform due to legal requirements and overall ensuring of the safety of all Customers.

The following categories of Advertisement are subject to certain restrictions and additional requirements:

Food Advertisement

● Claims describing the absolute and comparative nutrient content of foods. Advertisement may contain only the following specific terms in order to characterize the level of a nutrient in food:

− "absolute" terms (for example, "low," "high," "lean") which describe the amount of nutrient in one serving of food;

− “Relative" or comparative terms (for example, "less," "reduced," "more") which compare the amount of a nutrient in one food with the amount of the same nutrient in another food, provided that there is a minimum 25 percent difference in the relevant nutrient. In addition, comparative claims must disclose the reference food (the basis for the comparison), the percentage difference in the nutrient between the labeled and reference food.

● Health Claims:

− claims about diet-disease relationships are only allowed if they are based on the totality of the publicly available scientific evidence, that there is a significant scientific agreement, among experts qualified by scientific training and experience to evaluate such claims, that the claim is supported by such evidence;

− unqualified health claims regarding levels of total fat, saturated fat, cholesterol, and sodium in food products are prohibited;

− Advertisement along with the claims regarding health benefits to be derived from consuming a nutrient shall place information in relation to other factors that can influence the relevant disease or health-related condition.

All food Advertisement shall comply with the requirements set forth in this matter by the appropriate regulatory bodies (for example, Federal Trade Commission in the USA) in the relevant jurisdiction.

Alcohol Advertisement

● Advertisement of alcohol products shall encourage the responsible consumption of any alcohol, shall be only adult-oriented, socially responsible and reflect generally accepted contemporary standards of good taste;

● alcohol in Advertisement cannot be presented as being essential to personal performance, social attainment, achievement, success or wealth and shall not be directly associated with social, physical or personal problem solving;

● it shall not be suggested that alcohol is crucial for successful entertaining;

● it is prohibited to portray in Advertisement excessive drinking of alcohol or persons who appear to be intoxicated or to be inappropriately uninhibited;

● it is prohibited to portray in Advertisement alcohol in quantities inappropriate to the situation depicted in Advertisement;

● Advertisement of alcohol shall be age-appropriate and therefore it:

− shall depict only individuals who are or appear to be above the legal drinking age (preferably 25 years of age or older);

− cannot use music, language, gestures, cartoon characters or depictions, images, figures or objects that are popular predominantly with children or otherwise specifically associated with or directed toward individuals below the legal drinking age (for example, Santa Claus or the Easter Bunny);

− cannot suggest that alcohol is similar to another type of beverage or product (for example, milk, soda, candy) having particular appeal to persons below the legal drinking age;

● Advertisement of alcohol shall not portray individuals who take part in any activities that require a high degree of alertness or physical coordination (for example, operating motorized vehicles such as automobiles, motorcycles, boats, snowmobiles or airplanes, etc.);

● Advertisement of alcohol shall not depict situations where alcohol is being consumed rapidly, excessively, involuntarily, as part of a drinking game or as a result of a dare;

● no curative or therapeutic claims except as permitted by law are allowed in Advertisement and alcohol Advertisement cannot make scientifically unsubstantiated health claims;

● Advertisement of alcohol shall not be directed to pregnant women;

● Advertisement of alcohol shall not associate alcohol with abusive or violent relationships or situations.

Throughout the whole term of this Policy, you shall maintain a mechanism that requires a verification of age of every individual who follows your Advertisement from the Platform to the linked website to establish that they are of legal drinking age.

Advertisement Directed on Children

If you knowingly target your Advertisement for children audience or you are aware that children may encounter your Advertisement, you have to understand the additional responsibility connected with it and take into account special characteristics of such type of Customers.

Younger children have a limited capacity to evaluate the credibility of information, they may not understand the persuasive intent of Advertisement in general, and may not even understand that they are being subject to advertising at all.

To ensure the safe experience of the younger audience on the Platform we provide the following requirements for Advertisement directed to children:

● Advertisement for children’s products should show them being used by children in the appropriate age range;

● Advertisement in relation to food products should encourage responsible use of such products with a view toward healthy development of the child and represent a mealtime within the framework of a nutritionally balanced meal;

● the amount of food product featured should not be excessive or more than would be reasonable to acquire, use or consume by a person in the situation depicted;

● Advertisements in relation to food products should clearly depict or describe the appropriate role of the product within the framework of the eating occasion depicted;

● snack foods should be clearly depicted as such, and not as substitutes for meals;

● in case you offer the opportunity to purchase any product or service in your Advertisement (for example, direct “click here to order” button or other on-screen means) the ordering instructions must clearly and prominently state that a child must have a parent’s permission to order;

● Advertisement shall not impose sales pressure in advertising to children (for example, phrases such as “buy it now”) and minimize the price of goods and services with phrases such as “only”, “just” or “bargain price”;

● Advertisement shall not urge children to ask parents or others to buy products;

● Advertisement shall not suggest that a parent or adult who purchases a product or service for a child is better, more intelligent or more generous than one who does not;

● IT IS PROHIBITED TO ADVERTISE TO CHILDREN: products that impose safety risks to them: drugs and dietary supplements, alcohol, products labeled “Keep out of the reach of children”, etc. and it is prohibited to target children to website pages or online services that advertise such products;

● Advertisement shall not portray adults or children in unsafe situations or in acts harmful to themselves or others.

It is also prohibited to link your Advertisement to websites that do not comply with any of the abovementioned provisions regarding restricted content.

7. INTELLECTUAL PROPERTY AND LICENSE

Intellectual Property. General rules in relation to our intellectual property placed on the Platform are described in the respective Terms of Use for Customers and Business .

All intellectual property objects that are contained in your Advertisement, including without limitation graphics, photos, video materials, sounds, text, logos, brand names, trademarks, service marks and other intellectual property objects (“Advertisement Content”) remain your sole property. You do not transfer intellectual property rights to your Advertisement Content to us by submitting or placing your Advertisement on the Platform.

License. However, in order to be able to show your Advertisement to Customers on our Platform we need your authorization. Therefore, by posting or otherwise uploading your Advertisement to the Platform you automatically agree to provide us with a license to use your Advertisement. Precisely, you confirm that you have the right to and at the same time provide us with irrevocable, indefinite, non-exclusive, sublicensable, fully paid and worldwide license to use, copy, perform, display and distribute your Advertisement.

Use of Eatagram Brand Features. Your Advertisement shall not give the impression that there is an endorsement or partnership between you and Eatagram. You cannot use any of Eatagram Brand Features (including without limitation logos, trademarks) in your Advertisement without our prior explicit written consent. In general, we do not put restrictions in relation to use of any colors within Advertisements, however we may reject your Advertisement if it will be similar to Eatagram brand’s color or other Eatagram Brand Features.

8. LIABILITY

All liability provisions shall be interpreted along with provisions of the similar section in the respective Terms of Use for Customers or Business .

You are solely responsible for all Advertisement you submit on the Advertising Platform. You guarantee that you have all the rights and permissions to use any of your Advertisement Content.

You shall be solely responsible for your Advertisement Content and guarantee:

a. its compliance with all the applicable laws and regulations, including without limitation guidelines and recommendations of the Federal Trade Commission or other applicable regulations;

b. that Advertisement Content does not violate any third parties’ rights, including intellectual property rights;

c. that you are fully authorized to publish all Advertisement Content as well as all URLs and Internet websites to which URLs placed in Advertisement are linked;

d. that each website to which your Advertisement leads is controlled and operated by you or your independent contractors or you are authorized to control and operate such website, that it is functional and accessible at all times and it is suitable in all respects to be linked to from the Placement on which the Advertisement is posted;

e. that in case of any claims for the protection of the intellectual property rights that arise in relation to your Advertisement/Advertisement Content, you will handle all such claims on your own without the involvement of the Platform, including without limitation you guarantee to act as a proper defendant in cases of any lawsuits relating to violation of any intellectual property rights by your Advertisement/Advertisement Content, and in case of their satisfaction – you guarantee to reimburse all costs the Platform incurred in connection with such violation.

You also represent and warrant:

a. that you have all the rights, power and authority to be bound by this Policy and all its terms applicable to you and your execution of this Policy does not and will not violate any agreement to which you are a party or by which you are otherwise bound or any applicable law or regulation;

b. if you use the Advertising Platform and Advertisement Placement Services on behalf of a legal entity, that you have the right and authority to enter into this Policy on that entity’s behalf and bind it to the terms and conditions hereof.

WE ARE NOT AND SHALL NOT BE RESPONSIBLE FOR ANY VIOLATION INCURRED BY YOUR ADVERTISEMENT POSTED ON THE PLATFORM. You understand and agree that we have the right at our sole discretion to temporarily or permanently delete, reject or cancel any of your Advertisement if we believe that you and/or your Advertisement violate this Policy, other Platform’s documents , applicable laws and regulations, is considered to be illegal or may violate the rights and freedoms, harm or endanger the safety of other Users, Visitors or third parties. Herewith, we determine the fact of incompliance of your activities on the Platform and/or your Advertisement with the abovementioned requirements at our sole discretion.

9. WARRANTY DISCLAIMERS

All warranty disclaimers shall be interpreted along with provisions of the similar section in the respective Terms of Use for Customers or Business .

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR PLATFORM AND ADVERTISEMENT PLACEMENT SERVICES ARE PROVIDED ON “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO COMMITMENTS OR WARRANTIES ABOUT:

A. THE CONTENT, COMPLETENESS, RELIABILITY, OR AVAILABILITY OF THE ADVERTISEMENT PLACEMENT SERVICES;

B. CORRESPONDENCE OF THE ADVERTISEMENT PLACEMENT SERVICES TO YOUR EXPECTATIONS INCLUDING WITHOUT LIMITATION EXPECTATIONS REGARDING THE IMPACT OF THE SERVICES ON YOUR SUCCESS IN BUSINESS ACTIVITIES AND COMMERCIAL OUTCOMES, ETC.

WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT REPRESENT OR GUARANTEE THAT THE PLATFORM AND ADVERTISEMENT PLACEMENT SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE AND DISCLAIM ANY LIABILITY RELATING THERETO.

WE SHALL NOT BE RESPONSIBLE FOR ANY PROBLEMS WITH THE PLATFORM AND ANY PAYMENT SYSTEM, INCLUDING WITHOUT LIMITATION SYSTEM ERRORS AND OTHER INTERRUPTIONS THAT MAY AFFECT THE RECEIPT, PROCESSING, ACCEPTING, COMPLETION OR SETTLEMENT OF PAYMENT TRANSACTIONS.

NO LEGAL ADVICE. We post our Advertising guidelines and requirements for informational purposes only. You understand and agree that such guidelines do not constitute the exhaustive list of legal requirements set forth by the applicable legislation or the legislation of the countries to which you target your Advertisement. Our Advertising guidelines ARE NOT TO SERVE AS A LEGAL ADVICE and sole adherence to the guidelines set forth in this Policy does not necessarily constitute legal compliance with all applicable laws and regulations. It is your sole responsibility to make sure that your Advertisement is in compliance with all legal requirements and does not violate anyone’s rights, freedoms and interests.

10. AMENDMENTS TO POLICY

We reserve the right, at our sole discretion, to modify, amend or replace this Policy by posting a revised version on the Platform. We may amend Advertisement guidelines and requirements set forth in this Policy including without limitation with the purpose to comply with new legislation requirements, due to amendments to Platform’s Services and features and for other reasons determined by us.

We will inform you of any essential changes at least 15 days prior to the moment such changes come into force. If you do not agree with such changes you have the right to refuse to place your Advertisement on the Platform and stop using our Advertisement Placement Services within such 15 days. Continued use of the Advertisement Placement Services after changes come into force will indicate your acknowledgement and agreement to be bound by the revised Policy.

In case you have already submitted your Advertisement before such changes were posted on the Platform, the appropriate amendments will apply to your Advertisement starting from the next Billing Period. Herewith, we reserve the right to reject your Advertisement during the Review process or cancel your current Advertisement on the Platform at our sole discretion if it does not comply with the new requirements to a significant extent or for other reasons determined by us.

In any case, we encourage you to review this Policy periodically. After any changes described above come into force it is your sole responsibility to submit Advertisement that complies with the revised Advertisement guidelines and requirements set forth herein

11. PRIVACY

Please review our Privacy Policy and Cookie Policy that describe our privacy practices and use of cookies.

If you believe your personal data has been disclosed or otherwise used unlawfully and you did not consent to such disclosure, please contact us via help@eatagram.com. If we confirm the infringement, we will delete your personal data immediately.

12. MISCELLANEOUS PROVISIONS

Term and Termination. This Policy will remain in full force and effect as long as you continue to use our Advertisement Placement Services. You may terminate your use of the Advertisement Placement Services at any time by providing a request to us via help@eatagram.com.

In case you terminate your use of the Advertisement Placement Services during the current Billing Period, the cost of Advertisement Placement Services will be recalculated based on the actually used Services.

We reserve the right to suspend or terminate your access to our Advertising Platform, your Advertising Cabinet and/or Advertisement Placement Services at any time without prior notice, if we determine that you violate or fail to comply with this Policy, other Platform’s documents or applicable law, without any liability and without provision of any compensation to you in this regard. All provisions of this Policy that by their nature should survive termination, shall survive termination, including, without limitation, warranty disclaimers and limitations of liability.

Other Provisions. Sections “Applicable Law”, help@eatagram.com will apply to and are an integral part of this Policy.

13. COMPLAINTS

If you have the reasons to believe in good faith that any Advertisement placed on the Platform violates your rights, including without limitation intellectual property rights, or otherwise violates this Policy or applicable laws and regulations, you may submit a complaint to us via: help@eatagram.com.

We will do our best to try resolve the matter in a timely and effective manner and we will delete the disputed Advertisement if we establish the fact of violation.

14. CONTACT US
